Agreement By creating an account, accessing https://one.nexvocode.com, or using Nexvo One (the “Service”), you agree to these Terms of Service and our Privacy Policy (https://one.nexvocode.com/legal/privacy). If you use the Service on behalf of a company, you represent that you have authority to bind that company. 2. The Service Nexvo One is a multi-tenant SaaS platform that lets businesses connect data sources (commerce, analytics, ads, and social platforms such as TikTok via official OAuth / Login Kit), view dashboards, and receive read-only AI insights and recommendations. Features may change during beta. AI outputs are informational only and may be incomplete or incorrect. 3. Accounts & workspaces You must provide accurate registration information and keep credentials confidential. Workspace owners are responsible for members they invite and for activity under their tenant. You must promptly revoke access for users who leave your organization. 4. Acceptable use You may not: attempt unauthorized access to other tenants’ data; probe, scan, or disrupt the Service; reverse engineer except where mandatory law allows; use the Service for unlawful content or fraud; circumvent billing, rate limits, or security controls; or misuse connected APIs beyond the scopes and policies of those providers (including TikTok Developer Terms and Platform Guidelines). 5. Third-party platforms Connecting Shopify, Google, Meta, TikTok, or other providers is optional and subject to those providers’ terms. You authorize Nexvo to request tokens and sync data within the permissions you grant. Nexvo is not responsible for outages, API changes, or data accuracy of third-party platforms. Disconnecting a provider stops future syncs; historical snapshots may remain until deleted per our retention practices. 6. Social / TikTok integrations Where TikTok organic or ads connectors are enabled, Nexvo uses official TikTok APIs only. Current product scope focuses on reading profile/video metrics for analytics and AI drafting suggestions inside Nexvo. Publishing, deleting, or modifying TikTok content from Nexvo is not offered while AI external write tools remain disabled. 7. Fees & billing Paid plans are billed in TRY via PayTR according to the plan you select. Taxes may apply. Trials, if any, convert per the plan terms shown at checkout. Failure to pay may result in suspension. Unless required by law, fees are non-refundable for the current billing period after charge. 8. Intellectual property Nexvo and its licensors own the Service, software, and branding. You retain ownership of your content and connected-business data. You grant Nexvo a limited license to host and process that data solely to provide the Service. 9. Confidentiality & security Each party will protect the other’s confidential information. You are responsible for configuring integrations appropriately and for decisions you make based on dashboards or AI suggestions. 10. Disclaimers THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” TO THE MAXIMUM EXTENT PERMITTED BY LAW. WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION OR THAT METRICS/AI OUTPUTS ARE COMPLETE OR SUITABLE FOR ANY SPECIFIC BUSINESS DECISION. 11. Limitation of liability TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXVO WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS/REVENUE/DATA. OUR AGGREGATE LIABILITY FOR CLAIMS RELATING TO THE SERVICE IN ANY 12-MONTH PERIOD IS LIMITED TO THE FEES YOU PAID US FOR THE SERVICE IN THAT PERIOD (OR USD 100 IF YOU ARE ON A FREE/TRIAL TIER). Some jurisdictions do not allow certain limitations; in those cases our liability is limited to the minimum permitted by law. 12. Indemnity You will defend and indemnify Nexvo against claims arising from your content, your misuse of the Service, or your violation of law or third-party platform terms (including TikTok). 13. Suspension & termination We may suspend or terminate access for breach, risk, non-payment, or legal requirements. You may stop using the Service and request account closure via support. Provisions that by nature should survive (fees owed, IP, disclaimers, liability limits) survive termination. 14. Changes We may update these Terms by posting a revised version at https://one.nexvocode.com/legal/terms. Continued use after the effective date constitutes acceptance where allowed. If you disagree, stop using the Service and contact support to close your account. 15. Governing law These Terms are governed by the laws of the Republic of Türkiye, without regard to conflict-of-law rules, unless mandatory consumer protections in your country require otherwise. Courts of İstanbul, Türkiye have exclusive jurisdiction for disputes, subject to mandatory local venue rights. 16.
